These Terms explain the rules for using HeadGarden, including its general-wellness features, subscriptions, optional Health permissions, and Orb reflection companion.

Who we are and acceptance

HeadGarden is provided by OBSCURACODE LTD (“CodeObscura”, “we”, “us”, or “our”), a private limited company registered in England and Wales under company number 16120395. Our registered office is 3rd Floor, 86-90 Paul Street, London, England, United Kingdom, EC2A 4NE. You can contact us at legal@codeobscura.com.

These Terms of Use (“Terms”) govern your access to and use of the HeadGarden mobile application, its content, and the HeadGarden-operated services that support it. They also explain the relationship between you and us. Apple’s terms may apply separately to your use of the App Store and your device.

By downloading, installing, accessing, purchasing through, or using HeadGarden, you confirm that you have read and agree to these Terms. If you do not agree, do not use HeadGarden. If a mandatory law gives you rights that cannot be limited by contract, those rights take priority over any inconsistent part of these Terms.

Plain-language summary: HeadGarden is an accountless general-wellness product. It is not a medical or emergency service, and Premium access is authorised through your store subscription rather than a HeadGarden account.

Eligibility

HeadGarden is intended only for adults aged 18 or over. You must have the legal capacity to enter into this agreement in the place where you live. By using HeadGarden, you represent that you meet both requirements.

HeadGarden is not directed to children. You must not make the app available to a child or encourage a child to submit text to Orb. If you are unable to understand these Terms or make decisions about your participation safely, do not use the app without appropriate independent support.

You are responsible for confirming that downloading or using HeadGarden is lawful in your location and compatible with any rules that apply to your device, Apple ID, employment, care, or other circumstances.

What HeadGarden provides

HeadGarden offers a collection of app-guided features designed to support everyday general wellness. Depending on your platform, app version, location, subscription status, permissions, connectivity, and the current catalogue, these may include:

  • short guided audio or visual practices for everyday moments;
  • multi-day programmes and optional progress markers;
  • favourites, history, local downloads, reminders, and on-device settings;
  • optional, contextual Health information read from Apple HealthKit and optional mindful-session writes;
  • Orb, an AI-powered reflection companion for bounded general-wellness prompts; and
  • Free and Premium access levels, with advertising limited to eligible free use.

HeadGarden helps you choose and follow practices; it does not monitor whether an exercise is appropriate for your circumstances. You remain responsible for choosing whether, where, and how to participate. Stop any activity that feels unsafe or unsuitable.

Descriptions, duration labels, programme steps, reminders, progress displays, and similar information are organisational features. They are not assessments, prescriptions, treatment plans, or promises of a particular result.

General-wellness limitation

HeadGarden is for general-wellness use only. It is not medical care, does not provide diagnosis or treatment, is not a therapy service, and is not an emergency or crisis service.

HeadGarden does not replace a doctor, mental-health professional, therapist, emergency service, or other qualified professional. Content and generated responses are not professional advice. Do not use them to decide whether to seek care, change medication, begin or stop treatment, or manage a medical or mental-health condition.

HeadGarden does not evaluate your risk, monitor you for danger, identify emergencies, contact emergency services, or alert another person. Orb may not recognise urgent language and must not be used as a crisis channel. If you believe you or another person may be in immediate danger, contact the emergency services available where you are. In the United Kingdom, call 999 or 112. For non-emergency professional guidance, contact an appropriate qualified provider.

Practices may involve attention, breathing, sound, movement, stillness, or reflection. Consider your surroundings and personal circumstances before taking part. Do not use audio in a situation that requires your full attention, including while driving, cycling, operating machinery, or crossing traffic.

Accountless use and installation identity

There is no consumer account and no cloud progress profile. HeadGarden does not ask for a username or password. Most progress, favourites, history, downloads, settings, and reminders remain on your device.

The app creates a random, opaque installation identity and short-lived authorisation material so the HeadGarden service can deliver the catalogue and verify whether the current installation has trusted Premium access. This technical identity is not a public profile and does not contain your name or email address.

Because the app is accountless, deleting the app, clearing app storage, replacing or losing the device, or restoring in a way that omits local app data may permanently remove local progress and settings. We generally cannot recover or merge that local material. Apple and RevenueCat may still retain transaction records needed to restore an eligible purchase.

You are responsible for keeping control of your device and Apple ID. Do not attempt to copy, share, sell, or manipulate installation credentials, signed access material, or subscription state.

Permissions and Health

HeadGarden may ask for optional device permissions in context. You can decline them and manage them later in iOS Settings or the relevant system app. Some related feature may then be unavailable, but you can continue using features that do not require that permission.

Health read access and mindful-session write access are separate, independently controlled permissions. If you allow Health read access, HeadGarden may use selected values transiently on your device to provide current, contextual presentation. If you separately allow mindful writes, HeadGarden may ask HealthKit to record an eligible completed mindful session.

Practice completion never depends on a Health write. A denied, cancelled, unavailable, or failed write must not prevent a practice from completing inside HeadGarden. HeadGarden does not promise that Apple Health will accept, retain, reconcile, or display a write in a particular way.

You are responsible for reviewing system permission choices, checking recorded information where relevant, and deciding whether participation is suitable. Do not infer medical meaning from an app display, progress marker, or Health value shown in context.

Orb and generated responses

Orb is an OpenAI-powered reflection feature that sends your current message and a bounded amount of recent conversation text through the HeadGarden service to OpenAI to generate a response. Use Orb only for ordinary general-wellness reflection and only submit text you are comfortable sending to those services.

Orb’s generated responses may be inaccurate, incomplete, inappropriate, repetitive, or unexpected. Orb does not know your complete circumstances, does not verify facts, and cannot form a professional relationship with you. You must use independent judgement and must not rely on Orb for medical, mental-health, legal, financial, safety-critical, emergency, employment, or other professional decisions.

You must not use Orb to create, request, or distribute unlawful, abusive, threatening, discriminatory, exploitative, infringing, deceptive, sexually exploitative, self-harm-promoting, or otherwise harmful material. Do not submit another person’s confidential or personal information without a lawful basis and their appropriate permission.

We may apply bounded safety, rate-limit, and availability controls. A blocked, unavailable, delayed, or failed response does not mean HeadGarden has evaluated the message or determined it is safe.

Free and Premium access

HeadGarden may provide a Free level and a paid Premium level. The current app identifies which practices, programmes, downloads, Orb access, and other features are available at each level. Some eligible free use may include a non-personalized advertising placement after the app has resolved the applicable privacy choices. Premium users do not receive those ad requests while trusted Premium access is active.

Feature labels, catalogue composition, content availability, and the division between Free and Premium may change as the product develops. We will not remove non-excludable consumer rights, and we will take reasonable care not to undermine the core ongoing value of an active subscription without appropriate notice or remedy.

Seeing a purchase in Apple or RevenueCat does not by itself unlock protected content. HeadGarden uses a fresh, finite server-verified access lease. Temporary synchronisation delays, offline state, an expired lease, store errors, or service unavailability may cause protected actions to remain locked while the app verifies access.

Subscription plans

HeadGarden currently intends to offer the following auto-renewable subscription plans through Apple’s App Store:

$9.99 per month The monthly plan has no free trial.
$69.99 per year Eligible new subscribers may receive a 3-day free trial before the annual subscription begins.

These US-dollar prices describe the approved United States storefront configuration. Apple displays the price that applies before you confirm a purchase. Currency conversion, local storefront pricing, currency, and taxes may vary by country or region. The price shown by Apple at confirmation controls your purchase.

Trial eligibility is determined by Apple and may depend on your Apple ID, prior subscriptions, storefront, and Apple’s rules. A trial is not promised to every person or every device. If Apple displays no trial at confirmation, no trial applies. We do not extend, reset, or manually create Apple trial eligibility.

Premium continues for the paid or trial period Apple confirms, subject to successful verification and these Terms. Subscription access is personal and may not be resold, shared as a service, or used to bypass Apple’s or HeadGarden’s access controls.

Billing, renewal, cancellation, restoration, and refunds

Apple processes all subscription payments. We do not receive or store your full payment-card details. Payment is charged to your Apple ID when you confirm a purchase or when a free trial converts, as shown by Apple.

An auto-renewable subscription automatically renews for another period unless you turn off auto-renewal at least 24 hours before the end of the current subscription or trial period. Apple may charge your Apple ID within 24 hours before renewal. The renewal price is the price Apple presents under its applicable rules, including any notice required for a price change.

You can cancel or change renewal through Apple’s Manage Subscriptions controls. Deleting HeadGarden does not cancel a subscription. Cancellation normally stops future renewal and does not remove access already paid for through the end of the current period, subject to Apple’s rules.

Use Restore Purchases in HeadGarden to ask Apple and RevenueCat to re-check an eligible subscription associated with the current Apple ID. Restoration requires network and service availability and may take time to verify. It does not transfer a subscription between unrelated Apple IDs or create eligibility that Apple does not recognise.

Apple controls App Store refund decisions. You can request a refund at reportaproblem.apple.com or through Apple Support. We cannot promise that Apple will approve a request or directly issue an App Store refund. Nothing in this section limits any refund, cancellation, cooling-off, conformity, or other statutory rights that apply to you under mandatory law.

Licence and intellectual property

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use HeadGarden on devices you control for your own non-commercial general-wellness use. The licence ends when these Terms or your right to use HeadGarden ends.

HeadGarden’s software, visual system, app-authored text, arrangement, trademarks, service names, and other materials are owned by or licensed to CodeObscura and are protected by intellectual-property laws. Except for the limited licence above, these Terms do not transfer any right, title, or interest to you.

Some content, platform components, and provider materials belong to third parties and remain subject to their rights and terms. You receive no ownership or commercial-use rights in third-party content. Open-source components remain governed by their applicable licences.

You may not copy, publish, broadcast, commercially exploit, sell, license, redistribute, or create a competing content library from HeadGarden materials except where mandatory law permits or we have expressly agreed in writing.

User text and acceptable use

You retain any rights you already hold in text you submit to Orb. You grant us a limited, worldwide, non-exclusive licence to receive, transmit, process, and temporarily hold that text only as reasonably needed to generate and deliver the requested response, secure and operate the service, and comply with law. This licence does not authorise us to sell your text or use it for unrelated marketing.

You represent that you have the rights and lawful basis needed to submit the text and that processing it as described does not violate another person’s rights. Do not submit secrets, credentials, payment data, highly sensitive information, or content you are not entitled to disclose.

You must not:

  • use HeadGarden unlawfully, fraudulently, abusively, or to harm another person;
  • infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
  • probe, scan, defeat, circumvent, or interfere with security, access, subscription, rate-limit, or delivery controls;
  • reverse engineer, decompile, disassemble, derive source code, or create unauthorised adaptations, except to the limited extent a non-excludable law permits;
  • scrape, crawl, automate, harvest, bulk-download, frame, mirror, or systematically extract HeadGarden or catalogue content;
  • misuse credentials, signed URLs, installation identifiers, access leases, store receipts, or another person’s device or Apple ID;
  • introduce malware, overload the service, disrupt other users, or test vulnerabilities without written authorisation; or
  • resell, rent, sublicense, or operate HeadGarden or its output as a commercial service.

Third-party services

HeadGarden depends on third parties whose services, terms, and availability we do not control. They include Apple for distribution, HealthKit, payments, and subscription management; RevenueCat for subscription-state processing; Google AdMob and User Messaging Platform for eligible free-user advertising and privacy messages; AppsFlyer for consent-gated attribution; Firebase Crashlytics for sanitized release crash reporting; and OpenAI for Orb responses.

We also rely on hosting, content-delivery, domain, security, and network providers. A third-party interruption, policy change, regional restriction, device incompatibility, or store decision may affect HeadGarden. Your dealings with Apple and other providers may be governed by separate agreements between you and them.

Links to third-party information are provided for convenience and transparency. They do not make us responsible for external content, and the provider may update its service or policy independently. Review provider terms and privacy information relevant to your choices.

Availability, changes, and pre-release state

HeadGarden is currently described in a prelaunch context and may also be tested in limited beta or pre-release form. A prelaunch description is not a promise that every feature, platform, territory, date, or piece of content will be publicly available. Public availability begins only when Apple makes a release available in the relevant storefront.

We may add, remove, redesign, pause, or discontinue features; change catalogue classifications; update compatibility; address legal or safety requirements; and maintain the service. We do not promise uninterrupted, error-free, or permanent availability. Planned maintenance, network conditions, device restrictions, provider failures, security events, and circumstances outside our reasonable control may interrupt use.

Testing may use temporary private-beta media or catalogue material under limited rights. We do not promise that temporary private-beta media, a beta catalogue, or a test-provider source will ship publicly. Public content will be governed by the rights and release decisions applicable at that time.

Where a material service change affects an active subscription, we will act consistently with mandatory consumer law and Apple’s applicable subscription processes.

Disclaimers

HeadGarden is provided with reasonable care and skill where the law requires it. Subject to that obligation and your non-excludable rights, the app and service are provided on an “as available” basis. We do not promise that every practice, reminder, download, Health interaction, generated response, catalogue item, or provider connection will always be available, current, accurate, complete, or suitable for your individual circumstances.

General-wellness experiences are subjective. We do not promise a specific mood, habit, sleep, focus, health, or other outcome. Progress displays and programme completion are not evidence of a clinical or professional result.

Downloads may become unavailable when access expires or when rights, catalogue, security, or product requirements change. Offline availability may still depend on an unexpired trusted access lease, sufficient device storage, compatible software, and files remaining intact.

Nothing in these Terms excludes or limits a guarantee, warranty, term, or remedy that applicable consumer law says cannot be excluded or limited.

Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, deliberate misconduct, breach of a non-excludable statutory duty, or any other liability that law does not permit us to exclude or limit.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill. A loss is foreseeable where it was obvious that it would happen or both you and we knew it might happen when you accepted these Terms.

We are not responsible for loss that was not foreseeable, loss caused by your breach or unsafe use, loss arising from circumstances outside our reasonable control where we took reasonable steps, or business losses arising from consumer use. HeadGarden is supplied for personal and non-commercial use; if you use it for trade or business purposes, we are not responsible for loss of profit, revenue, business, opportunity, goodwill, or business interruption to the extent the law permits.

We are not responsible for independent decisions by Apple or another provider, but this does not remove responsibility we may have for our own acts or omissions. Any limit in this section applies only to the extent permitted by the law that applies to you.

Suspension and termination

You may stop using HeadGarden at any time. You can remove local app data using available controls or uninstall the app. Uninstalling does not cancel an Apple subscription; cancellation remains a store action described in section 10.

We may restrict or suspend service access where reasonably necessary to protect HeadGarden or others, investigate apparent misuse, comply with law or provider obligations, enforce these Terms, address security risk, or operate a discontinued service. Where appropriate and lawful, we will use proportionate measures and provide notice or an opportunity to resolve the issue.

We may discontinue HeadGarden. If that materially affects paid access, we will handle the situation consistently with mandatory consumer rights and the App Store processes available to us. Ending service access does not itself cancel Apple billing, so you should also review your subscription settings.

Sections that by their nature should continue—including intellectual property, lawful limitations, privacy, liability, governing law, and general provisions—survive termination.

Privacy

Our HeadGarden Privacy Policy explains how the accountless app and its providers process information, including local app data, optional Health values, installation and entitlement material, purchases, advertising, attribution, crash reports, Orb text, and website requests.

The Privacy Policy is incorporated into these Terms for transparency about service operation. Privacy choices do not waive your rights, and consenting to one optional purpose does not automatically consent to another.

Changes to these Terms

We may update these Terms to reflect product changes, legal or regulatory developments, provider requirements, security needs, or clearer explanations. The effective date at the top identifies the current version.

Where a change materially affects your rights or an active paid service, we will provide reasonable notice where practicable, for example in the app, on this page, or through an App Store mechanism. A change does not operate retrospectively unless the law permits and the wording clearly says so.

If you do not agree to revised Terms, stop using HeadGarden and cancel any future subscription renewal through Apple. Your statutory rights relating to a purchase made before a change remain unaffected.

Governing law and consumer jurisdiction

These Terms and any non-contractual dispute are governed by the law of England and Wales. This choice does not deprive you of mandatory consumer rights provided by the law of the country where you habitually live where those rights apply regardless of this choice.

If you live in England or Wales, you and we can bring proceedings in the courts of England and Wales. If you are a consumer living in Scotland, you may generally bring proceedings in Scotland or England and Wales. If you are a consumer living in Northern Ireland, you may generally bring proceedings in Northern Ireland or England and Wales. Consumers elsewhere retain any courts or dispute routes that mandatory local law makes available.

We encourage you to contact us first so we can try to resolve a concern informally, but doing so does not remove a limitation period, statutory remedy, regulatory complaint, or court right.

General provisions

Entire agreement. These Terms, the Privacy Policy, and any purchase information Apple presents form the agreement concerning HeadGarden, without excluding representations or rights that cannot lawfully be excluded.

Severability. If a court or competent authority finds part of these Terms unlawful or unenforceable, that part will be treated as modified to the minimum extent necessary or removed, and the remaining provisions will continue.

No waiver. A delay in exercising a right is not a waiver. A waiver on one occasion does not waive a later right.

Assignment. You may not transfer this agreement without our written consent. We may transfer our rights and obligations to another organisation as part of a reorganisation, sale, or service transfer, provided this does not reduce your mandatory rights. We will notify you where law requires.

Third-party rights. Unless these Terms expressly say otherwise, a person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them. Apple may have rights under its own developer and store terms.

Language. These Terms are published in English. If a translation is later provided, the English version controls to the extent the law permits, subject always to mandatory local-language consumer protections.
